Norway company registration: the steps in order

A Norwegian AS comes into existence in a fixed order, and most of the work happens before the filing rather than in it. The founders settle the company's name, its business and its board, draw up the articles of association and pay the share capital, usually into a Norwegian bank account, whose confirmation goes into the filing. Only then is the coordinated register notification sent to the Brønnøysund Register Centre, which enters the company in the Register of Business Enterprises and assigns its organisation number. This guide follows that order: what must be in place before filing, what the identity documents are for, why the AS is the usual form and what the company owes once registered.

Why the AS is the form to start from

For a founder or a foreign group, the AS is the form to start from: it is the standard vehicle for domestic and international business in Norway. What the panel cannot show is why choose a Norwegian company at all: through the EEA Agreement, Norway has access to the EU single market without being an EU member, which is why an AS can serve as a European base. For an owner who does not meet the residence condition, the form separates two questions. Ownership can sit anywhere; the board cannot, because of its residence condition, so the real decision is who sits on it.

Why the file follows the ownership chain

The file exists to show who stands behind the new company. For an individual shareholder or director it establishes who the person is and where they live. A corporate shareholder is looked through: the file proves that the holding company exists and how it is constituted, then identifies its legal representative and its larger owners. That is the same ownership chain the AS will trace again when it registers its beneficial owners, a step that falls due straight after registration. Because the proof of address must be recent when it is used, it is best obtained last, once everything else is ready.

What the board and address conditions really test

Neither condition on this list turns on nationality; both are about where the company and its board are based. The board condition is a residence test measured across the board as a whole, so a sole director has to meet it personally, and every seat held by a non-resident has to be matched by one held by a resident. The usual mistake is timing. The board and the business address are registered with the company, so both have to be settled before filing.

The tax points a new AS meets first

Most of the brief is not what a new AS meets first. The special regimes cover named industries, so an ordinary trading or holding company works from the general lines. Two things matter earlier than the rates: timing and triggers. Once the AS has been assessed, estimated tax for an income year falls due in two instalments before that year's return is filed, and the assessment afterwards settles the difference. VAT is not switched on by incorporation: an AS registers once its taxable turnover passes the registration threshold. The capital gains line needs care as well, because gains on qualifying shareholdings can fall under the participation exemption, which matters to an AS that holds shares in other companies.

After the organisation number

Registration ends with an organisation number, and from then on the AS is a legally operating company; what follows is upkeep rather than formation. Two items arrive almost at once: the invoice for the registration fee, and the registration of the company's beneficial owners, which is due straight after registration. After that the calendar is set by reports to the business registers and tax authority, above all the annual accounts and the tax return, while any change to the board or the address has to be reported as it happens. So the one thing to do next is to put those recurring dates into the company's own calendar before the first of them arrives.
