EU company registration: what is common and what is national

There is no EU-wide company for an ordinary founder. A company is formed under the law of one of the EU member states, and EU law then treats a company formed that way as entitled to set up anywhere in the single market. This guide follows the order the decisions arrive in: which member state to form in, which type of business and private limited form suit the plan, whether a notarial act stands between the founder and the register, who must be disclosed as beneficial owner, and which tax and VAT duties start once the company exists. What is common across the Union and what stays national are separated throughout.

Eight private limited forms, one family

Each member state has a private limited form for a closely held business. That is also why the online route exists for all of them, because the EU guarantee of online formation reaches only the private limited forms the directive lists by name. The European company (SE), or Societas Europaea (SE) is the alternative most founders have heard of and few can use: it is a public limited-liability company, needs subscribed capital of EUR 120 000 and activity in at least two member states, requires an agreement on employee participation, and can be built only out of companies that already exist. At least one shareholder. Although having only one shareholder is allowed, we do not recommend that. Having one person company, where one individual holds 100% shares, cause obligation to pay social security contributions (social tax), which currently amount to around 2000 PLN per month. Moreover, Polish company law forbids to register Polish limited liability companies (sp. z o.o.) with 100% shareholding of another limited liability companies (either foreign or Polish).

Why the file climbs the ownership chain

An incorporation file is not paperwork invented by whoever collects it. EU anti-money-laundering law requires a company to obtain and hold adequate, accurate and current information on its beneficial ownership, and that information is filed into a central register kept outside the company. A shareholding of 25% plus one share, or an ownership interest of more than 25%, indicates direct ownership, and the same test applied through a corporate shareholder indicates indirect ownership. That is why the questions climb the ownership chain instead of stopping at the first company named. Notaries and company service providers are supervised obliged entities themselves, held to a fit and proper test, so they ask before they file rather than after.

What every formation asks, and where Ireland differs

Read this list twice: once for what every EU formation asks, once for what one member state adds. The fixed part is an address in the jurisdiction and an identifiable person behind the company. EU law on online formation guarantees that a company can be formed without the applicants appearing in person, and allows physical presence to be demanded only case by case, where identity or authority to represent is in doubt. That guarantee is about travel, not about notaries: German articles of association still require notarial form, now recordable by videoconference. Residence is the real divide. Ireland requires an EEA-resident director, failing which a bond or a Registrar's certificate of real and continuous economic activity in the State.

Where the EU layer stops and national tax begins

The columns differ because the EU sets no corporate tax rate; those rules are national. What is EU-level sits outside the table. Dividends from a subsidiary in one member state to a parent in another holding at least 10% of its capital are exempt from withholding tax, interest and royalties between associated companies are exempt at source, and five anti-abuse measures apply in every member state. The 15% global minimum tax starts at consolidated revenue of EUR 750 000 000, far above a newly formed company. VAT is the part most often misread: each member state issues its own number, and a valid one can still fail a VIES check until it is activated for intra-EU transactions.

What the registers make public

Registration is the moment the company becomes a public fact. The entry sits in one national register, carries a European unique identifier so other registers can match it, and the beneficial owners are filed into a register of their own that is connected across the Union. Since the Court of Justice struck down unconditional public access in 2022, those details reach whoever can demonstrate a legitimate interest rather than anyone at all. The step that belongs in the week the certificate arrives is dull: check that the register, the beneficial-ownership filing and whatever the bank was given describe the same ownership. Forming a company is not immigration, and living where it is registered can still require a residence permit.
