Yes. A state's business/corporate authority (Secretary of State) can administratively or forcibly dissolve (revoke) a company, typically for non-compliance such as failing to file annual reports, pay state fees, or otherwise maintain good standing.
Before dissolution a U.S. company must complete the full tax return for its final full calendar/fiscal year of operation plus a short-year return covering the period up to the dissolution date. The final full-year return is generally due by April 15 of the following year; missing that deadline may incur additional penalties. Annual report/registration obligations may need to be handled separately.
A U.S. company without a registered agent can be administratively dissolved by the state for failing to maintain one, triggering reinstatement fees and accruing state penalties.
